Precision Dynamics Corporation (PDC), has merged with The St. John Companies Inc. (“St. John”) to create the world’s leading provider of patient safety identification and healthcare labeling solutions.  Our combined companies will offer healthcare providers the industry’s most comprehensive set of products and services to accurately identify patients, label clinical specimens, track medications and monitor treatments.

1. Why did PDC and St. John merge?
PDC and St. John have merged to create the global leader in patient safety identification and healthcare labeling solutions as well as medical imaging, medical records and other healthcare consumable products.

2. How does the merger benefit me?

Experience & Expertise: As leaders of healthcare identification solutions, PDC and St.
John have been renowned for outstanding quality, innovation, and technology. You will
now have access to almost 100 years of combined expertise in patient identification and healthcare labeling.

Product Selection & Development: By combining our products, you will now have access to the greatest breadth of best-in-class solutions in the healthcare industry, reaching every touch point in the delivery of care. The integration of our product innovation capabilities will help us to continually pioneer new technologies and solutions to meet your exact needs.

Personal Service and Attention: The new Company will have the best and broadest
Customer Service and Sales resources. You’ll receive personal and expert consultation
from our local sales representatives, as well as Inside Sales and Customer Service Teams. You’ll also receive InService support from Product Management, Materials Management, Engineering/Design, and Quality Control.

3. Weren’t PDC and St. John significant competitors?
Yes! PDC and St. John have been enthusiastic competitors. But, together we’ll be able to combine our resources to provide you with the most superior products and services that support every area of patient care, while reducing supply chain costs.

4. Will you continue to be my primary contact with the Company?
Yes, initially, it’s business as usual.

5. How soon will PDC and St. John begin integrating the businesses?
We expect to begin the integration planning immediately and have a plan in place within 90 – 120 days. Until our integration is complete, PDC and St. John will continue to operate as separate entities and it’s “business as usual”. You can count on us to provide you with the same high level of product quality and service that you have come to expect. During the integration process, we will update you on any developments that will be meaningful to you.

6. Who is running the new Company?
Cecil Kost, who is PDC’s President and CEO, will serve as the president and CEO of the combined business.

7. How do I order products from either company?
You will continue to order products in the same way that you always have. Any future
changes will be communicated to you well in advance.

8. When do I begin ordering PDC and St. John products together?
We expect to offer you the ability to place a single order for PDC and St. John products once we complete the integration of our two companies, which will take some time. Until then, you will continue to order products in the same way that you always have.

9. Will my sales representative(s) change?
You will continue to work with your current account executives. As we complete the
integration of the two companies, we will communicate any changes.

10. Who do I call for customer-service related questions?
You should continue to contact the same Customer Service group that you have in the
past.

11. Will changes be made to the products that I order?
No changes to existing products are planned at this time. As always, your representative will make you aware of any future changes to our product offering.

12. Will my current delivery and lead times be affected by the merger?
No, we do not expect any changes in lead times.

13. Will there be any changes to credit, terms and conditions?
Credit and terms and conditions will remain the same. Should there be any changes in the future, they will be communicated to you well in advance.

14. Will my custom imprinting options change?
No, we do not plan to change any custom imprinting at this time.

15. I seem to be getting calls from both PDC and St. John sales reps trying to sell the same products. When will it stop?
We appreciate your concern and we will work on this quickly as we go through the
integration process. In the meantime, thank you for your patience.

16. Will my pricing change?
Pricing will remain the same. Should there be any changes in the future, they will be
communicated to you well in advance
